These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer," "you," or "your") and IurisIQ ("IurisIQ," "we," "us," or "our") governing your access to and use of the IurisIQ platform and related services (collectively, the "Service"). By creating an account, clicking "I Agree," or otherwise using the Service, you agree to be bound by these Terms on behalf of yourself and, if applicable, your law firm or organization.
If you do not agree to these Terms, do not access or use the Service.
1. Eligibility
The Service is intended solely for use by licensed attorneys, law firms, legal professionals, and their authorized staff in the United States. By using the Service you represent and warrant that:
- You are at least 18 years of age;
- You are a licensed attorney in good standing, or are acting under the direct supervision of a licensed attorney;
- Your use of the Service complies with all applicable federal and state laws, bar association rules, and professional responsibility obligations; and
- You have the authority to bind your firm or organization to these Terms.
IurisIQ reserves the right to verify eligibility and to suspend or terminate accounts that do not meet these requirements.
2. The Service
IurisIQ provides a cloud-based legal practice management platform that includes case management, client intake, document management, AI-assisted drafting, billing, trust accounting, secure messaging, e-signature, conflict checking, and related modules (collectively, the "Service"). Available modules and features may change over time. We will provide reasonable notice of material changes that affect existing functionality.
The Service may integrate with third-party systems and government APIs, including the USCIS API, subject to the terms and eligibility requirements of those programs. Your access to such integrations is conditioned on your separate compliance with applicable government terms and professional requirements.
3. Accounts and Access
Account Registration
You must register with a valid corporate or professional email address (not a personal webmail address such as Gmail, Yahoo, or Hotmail). You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account.
Authorized Users
You may authorize attorneys, paralegals, and administrative staff within your firm to use the Service as authorized users under your subscription ("Authorized Users"). You are responsible for ensuring that all Authorized Users comply with these Terms. You must promptly revoke access for any individual who is no longer authorized or who violates these Terms.
Account Security
You are responsible for implementing adequate security controls for your account, including enabling two-factor authentication (which IurisIQ strongly recommends) and promptly notifying us of any unauthorized access at [email protected].
4. Professional Responsibility
IurisIQ is a software tool, not a law firm, and does not provide legal advice. Nothing in the Service constitutes legal advice, and you may not represent to clients or third parties that IurisIQ has reviewed, approved, or certified any legal work product.
You retain full professional responsibility for:
- All legal work product generated or assisted by the Service, including AI-drafted documents;
- All filings submitted to government agencies through the Service, including USCIS filings;
- Conflict of interest checks (IurisIQ's conflict module assists but does not substitute for your professional judgment);
- Compliance with applicable rules of professional conduct, including rules regarding competence, supervision, and confidentiality;
- The accuracy of all data entered into the Service.
AI-assisted features are designed to support attorney work, not replace it. You must review all AI-generated content before use.
5. Customer Data
Ownership
You retain all right, title, and interest in and to all data, content, and information that you or your Authorized Users upload, enter, or generate through the Service ("Customer Data"). IurisIQ claims no ownership over Customer Data.
License to IurisIQ
You grant IurisIQ a limited, non-exclusive license to process, store, and use Customer Data solely to provide, maintain, secure, and improve the Service as described in our Privacy Policy. We do not use Customer Data to train AI models without your express written consent.
Data Portability
You may export your Customer Data in structured, machine-readable formats at any time during your active subscription via the Service's built-in export tools. We will also provide reasonable assistance with data export upon request.
Government API Data
Data obtained through government API integrations (including the USCIS API) is subject to the terms and conditions of the applicable government program. By using such integrations, you confirm that you are an authorized representative of the clients on whose behalf requests are submitted and that your use complies with all applicable requirements.
6. Acceptable Use
You agree not to use the Service to:
- Engage in unauthorized practice of law or assist others in doing so;
- Submit fraudulent, inaccurate, or misleading information to any government agency;
- Violate any federal or state law, regulation, or court order;
- Infringe the intellectual property rights or privacy rights of any third party;
- Attempt to gain unauthorized access to any part of the Service or any other system;
- Introduce malware, viruses, or other harmful code;
- Scrape, harvest, or systematically collect data from the Service without authorization;
- Reverse engineer, decompile, or disassemble any component of the Service;
- Resell, sublicense, or otherwise make the Service available to unauthorized parties; or
- Discriminate against clients or prospective clients on the basis of a protected characteristic in violation of applicable law.
IurisIQ reserves the right to investigate suspected violations and to suspend or terminate access if a violation is confirmed.
7. Fees and Payment
Subscription Fees
Access to the Service requires payment of the subscription fees set forth in your order form or on our pricing page ("Fees"). Fees are billed in advance on a monthly or annual basis as selected at checkout. All Fees are in U.S. dollars.
Automatic Renewal
Subscriptions automatically renew at the end of each billing period unless you cancel at least 30 days before the renewal date (annual plans) or before the next monthly billing date (monthly plans). You may cancel through your account settings or by contacting us at [email protected].
Payment
You authorize IurisIQ (through our payment processor) to charge your payment method on file for all Fees. If a payment fails, we will notify you and may suspend access to the Service until payment is received.
Refunds
Monthly subscriptions are billed in advance and are non-refundable for the current billing period. Annual subscriptions are non-refundable except as required by applicable law or as expressly stated in your order form. Setup fees are non-refundable once onboarding has commenced.
Fee Changes
We may adjust Fees with at least 60 days' advance notice. Fee changes will take effect at the start of your next renewal period.
8. Intellectual Property
IurisIQ IP
IurisIQ and its licensors own all right, title, and interest in and to the Service, including all software, algorithms, AI models, user interfaces, documentation, trademarks, and trade secrets. These Terms do not grant you any ownership interest in the Service. The IurisIQ name, logo, and product names are trademarks of IurisIQ and may not be used without our prior written permission.
Feedback
If you provide suggestions, ideas, or feedback about the Service ("Feedback"), you grant IurisIQ a royalty-free, worldwide, perpetual license to use and incorporate that Feedback into the Service without obligation to you.
9. Confidentiality
Each party agrees to keep confidential any non-public information disclosed by the other party that is reasonably understood to be confidential ("Confidential Information"), and to use Confidential Information only as necessary to perform obligations or exercise rights under these Terms. Confidential Information does not include information that: (a) is or becomes publicly available through no fault of the receiving party; (b) was known to the receiving party before disclosure; or (c) is required to be disclosed by law or court order (with prompt notice to the other party where permitted).
All Customer Data is deemed Confidential Information of the Customer. IurisIQ will maintain technical and organizational safeguards designed to prevent unauthorized access to Customer Data as described in our Privacy Policy.
10. Third-Party Services
The Service may enable integrations with third-party services, platforms, and government systems. Your use of such integrations is subject to the terms and conditions of those third parties, which you are responsible for reviewing and complying with. IurisIQ is not responsible for the availability, accuracy, or reliability of any third-party service and makes no warranty with respect to third-party integrations.
11. Warranties and Disclaimers
IurisIQ warrants that: (a) the Service will perform materially in accordance with our documentation under normal conditions; and (b) we will implement commercially reasonable security measures as described in our Privacy Policy.
12. Limitation of Liability
These limitations apply regardless of the theory of liability and even if any limited remedy fails of its essential purpose. Some jurisdictions do not allow limitation of liability for certain types of damages, so some of the above limitations may not apply to you.
13. Indemnification
You agree to indemnify, defend, and hold harmless IurisIQ and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service in violation of these Terms; (b) your violation of any applicable law or regulation; (c) any legal work product you create or file using the Service; (d) any claim by your clients or third parties arising from your use of the Service; or (e) any inaccuracy in Customer Data.
14. Term and Termination
Term
These Terms remain in effect for as long as you maintain an active subscription or account with IurisIQ.
Termination by Customer
You may terminate your subscription at any time by providing written notice in accordance with Section 7. Annual subscriptions cancelled mid-term are not eligible for refunds (unless required by applicable law).
Termination by IurisIQ
IurisIQ may suspend or terminate your account immediately for: (a) material breach of these Terms; (b) non-payment; (c) use of the Service in a manner that poses a security risk or harm to others; or (d) as required by law. For non-material breaches, we will provide 30 days' notice and an opportunity to cure before termination.
Effect of Termination
Upon termination, your right to access the Service ceases. We will retain your Customer Data for 60 days following the termination date, during which time you may request an export of your data. After 60 days, Customer Data will be permanently deleted. Sections 4, 5, 8, 9, 11, 12, 13, 15, 16, 17, and 18 survive termination.
15. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of North Carolina, without regard to its conflict of laws principles. Any dispute not subject to arbitration under Section 16 will be resolved exclusively in the state or federal courts located in North Carolina, and each party consents to personal jurisdiction in those courts.
16. Dispute Resolution โ Binding Arbitration
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.
Except for claims by either party for injunctive or other equitable relief to prevent unauthorized use or misappropriation of intellectual property, all disputes, claims, or controversies arising out of or relating to these Terms or the Service ("Disputes") will be resolved by final and binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules, as modified by these Terms.
Arbitration will be conducted by a single arbitrator in English in North Carolina (or virtually by mutual agreement). The arbitrator's decision will be binding and may be entered as a judgment in any court of competent jurisdiction. Fees and expenses of arbitration will be allocated as provided by the AAA rules, except that IurisIQ will not seek reimbursement of AAA filing fees for claims under $10,000 if you are the prevailing party.
Either party may bring a claim in small claims court (without arbitration) if the claim qualifies.
17. Class Action Waiver
ALL DISPUTES WILL BE RESOLVED ON AN INDIVIDUAL BASIS. YOU AND IURISIQ EACH WAIVE THE RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION. The arbitrator may not consolidate your claims with those of any other customer or award class-wide relief.
18. General Provisions
Entire Agreement
These Terms, together with the Privacy Policy and any executed order form, constitute the entire agreement between you and IurisIQ with respect to the Service and supersede all prior or contemporaneous agreements, proposals, or representations, written or oral.
Severability
If any provision of these Terms is found to be invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force.
No Waiver
IurisIQ's failure to enforce any provision of these Terms will not constitute a waiver of that provision.
Assignment
You may not assign or transfer these Terms or any of your rights hereunder without IurisIQ's prior written consent. IurisIQ may freely assign these Terms in connection with a merger, acquisition, or sale of assets. These Terms bind and inure to the benefit of each party's permitted successors and assigns.
Force Majeure
Neither party will be liable for delays or failures in performance resulting from causes beyond their reasonable control, including natural disasters, acts of government, internet outages, or pandemics.

Legal notices to IurisIQ must be sent to [email protected] with a copy mailed to IurisIQ, Attn: Legal, PO Box 37810, Raleigh, NC 27616. Notices to you will be sent to the email address on file for your account.
19. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will provide at least 30 days' advance notice by email and by posting a prominent notice on our Site. If you continue to use the Service after the effective date of the revised Terms, you accept the updated Terms. If you do not agree to the changes, you must stop using the Service before the effective date.
